ImageUpWP Terms of Use

These Terms of Use ("Terms") govern your installation, access to, and use of ImageUpWP ("ImageUpWP", the "Extension", "we", "our", or "us"), a Chrome browser extension published by Mrdzyn Studio.

By installing, accessing, purchasing a license for, or using ImageUpWP, you agree to these Terms. If you do not agree with these Terms, you should not install or use the Extension.

1. About ImageUpWP

ImageUpWP is designed to simplify the transfer of supported downloaded images to a WordPress Media Library.

The Extension may work with images downloaded from supported third-party websites and services, including Google Gemini, ChatGPT/OpenAI, VistaCreate, Piktochart, and Creative Fabrica.

ImageUpWP does not create ownership rights in images obtained from these services and does not grant you permission to use content that you do not otherwise have the right to use.

2. Free and Premium Features

ImageUpWP may provide both free and paid functionality.

Free Plan

The Free version currently includes support for uploading supported images downloaded from Google Gemini to a user-configured WordPress website.

Premium Plan

A valid ImageUpWP Premium license may unlock additional supported integrations and functionality.

Premium features may include support for additional services such as ChatGPT/OpenAI, VistaCreate, Piktochart, and Creative Fabrica.

The features included in Free and Premium plans may change as ImageUpWP is updated, provided that changes are made in accordance with applicable law and any commitments associated with an active paid license or subscription.

3. Premium Licensing and Freemius

ImageUpWP uses Freemius for Premium licensing, checkout, payment processing, subscriptions, license activation, and related account-management functionality.

When you purchase or activate an ImageUpWP Premium license, you may also be subject to Freemius' applicable terms, privacy policy, checkout terms, and other policies.

ImageUpWP and Mrdzyn Studio do not directly collect or store your payment card information.

A Premium license grants you a limited, non-exclusive, non-transferable and revocable right to use the Premium functionality included in the plan you purchased, subject to these Terms and any license limitations presented at the time of purchase.

You may not sell, sublicense, share, redistribute, or otherwise commercially transfer an ImageUpWP license unless expressly permitted by the applicable plan.

License validation may require communication with Freemius.

4. Subscriptions, Renewals and Cancellation

If you purchase ImageUpWP through a recurring subscription, the subscription may automatically renew according to the billing terms presented during checkout.

Subscription billing, renewal, cancellation, taxes, invoices, payment methods, and related transactions may be administered through Freemius.

You are responsible for managing or cancelling your subscription before the applicable renewal date if you do not wish for it to renew.

Cancelling a subscription generally prevents future renewals but does not automatically entitle you to a refund for a previously completed billing period.

Any refund request is subject to the terms presented at the time of purchase, applicable Freemius policies, any refund policy published by ImageUpWP or Mrdzyn Studio, and applicable consumer protection law.

Nothing in these Terms limits any refund, cancellation, or consumer rights that cannot legally be waived.

5. WordPress Connection

To use ImageUpWP, you may be required to configure a WordPress website and provide information necessary for the Extension to authenticate with that website.

This may include:

  • your WordPress website URL;

  • your WordPress username;

  • a WordPress Application Password; and

  • related configuration settings.

You are responsible for ensuring that:

  • you own, administer, or are authorized to access the configured WordPress website;

  • the WordPress account has appropriate permission to upload media;

  • your WordPress REST API is accessible where required;

  • your website uses HTTPS for authentication and image transfers; and

  • your WordPress installation, hosting environment, plugins, themes, accounts, and credentials are appropriately secured.

We strongly recommend creating a dedicated and revocable WordPress Application Password specifically for ImageUpWP rather than using your primary WordPress password.

6. Local Credential Storage

ImageUpWP is designed so that WordPress authentication information and extension settings can be stored locally in the user's Chrome browser profile.

ImageUpWP does not maintain a publisher-operated server containing your WordPress Application Password.

WordPress credentials are used to authenticate directly with the WordPress website configured by you when you request an applicable operation.

Security and storage practices relating to WordPress authentication information are further described in the ImageUpWP Privacy Policy.

You remain responsible for protecting access to your computer, Chrome profile, WordPress account, and other devices or accounts used with ImageUpWP.

7. Image Transfers

When you request an image upload, ImageUpWP may process the applicable image locally and transmit it directly to the WordPress website you configured.

ImageUpWP does not intentionally route or store uploaded images through publisher-operated ImageUpWP or Mrdzyn Studio servers.

Once an image reaches your WordPress website, that image is controlled by your WordPress installation and may also be processed by your hosting provider, CDN, security tools, plugins, media services, backup systems, or other services you have configured.

Mrdzyn Studio is not responsible for the subsequent storage, publication, processing, deletion, or security of content after it has been uploaded to your WordPress environment.

8. Your Content and Intellectual Property Rights

You retain whatever rights you lawfully hold in images and other content that you process through ImageUpWP.

ImageUpWP does not claim ownership of images that you upload to your WordPress website using the Extension.

You are solely responsible for ensuring that you have all necessary rights, permissions, licenses, consents, or other lawful authority required to download, copy, upload, publish, display, distribute, or otherwise use any image or content processed through ImageUpWP.

You must not use ImageUpWP to upload or distribute content that:

  • infringes copyright, trademark, privacy, publicity, or other rights;

  • violates the license or terms applicable to the source content;

  • contains unlawful material;

  • was obtained without authorization where authorization is required; or

  • otherwise violates applicable law.

The fact that ImageUpWP technically allows an image to be transferred does not mean that Mrdzyn Studio has verified or granted rights to that image.

9. Third-Party Services

ImageUpWP interoperates with services operated independently by third parties.

These may include Google Gemini, OpenAI/ChatGPT, VistaCreate, Piktochart, Creative Fabrica, WordPress, Freemius, and WordPress hosting providers.

Your use of those services remains subject to their respective terms, licenses, acceptable-use rules, privacy policies, and account requirements.

ImageUpWP does not control those third-party services.

Third-party services may modify their websites, APIs, authentication methods, download mechanisms, security requirements, or other technical functionality at any time. Such changes may temporarily or permanently affect ImageUpWP compatibility.

We may update ImageUpWP to maintain compatibility, but we do not guarantee that every third-party integration will remain continuously available.

10. No Affiliation or Endorsement

ImageUpWP is independently developed unless expressly stated otherwise.

References to third-party product or company names are made solely to identify services with which ImageUpWP is designed to work.

Such references do not imply sponsorship, partnership, affiliation, certification, or endorsement by Google, OpenAI, VistaCreate, Piktochart, Creative Fabrica, WordPress, or any other third-party provider.

All third-party trademarks remain the property of their respective owners.

11. Acceptable Use

You agree to use ImageUpWP only for lawful purposes and in accordance with these Terms.

You must not:

  • use ImageUpWP to violate applicable laws or regulations;

  • upload material you do not have the legal right to use;

  • use credentials belonging to another person without authorization;

  • use ImageUpWP to gain unauthorized access to a WordPress website or other system;

  • bypass or attempt to bypass Premium licensing restrictions;

  • falsify, manipulate, share, or circumvent ImageUpWP license validation;

  • interfere with or disrupt the operation or security of the Extension;

  • introduce malware, malicious code, or harmful content through the Extension;

  • reverse engineer, decompile, modify, or redistribute ImageUpWP except where such restriction is prohibited by applicable law;

  • use the Extension in a manner designed to overload or abuse WordPress sites, Freemius, supported platforms, or other systems; or

  • use ImageUpWP for fraudulent, deceptive, infringing, or malicious activity.

12. Updates and Changes to the Extension

ImageUpWP may be updated from time to time to:

  • add or remove supported integrations;

  • maintain compatibility with third-party websites;

  • improve security;

  • correct defects;

  • improve performance;

  • modify user interfaces;

  • comply with Chrome Web Store requirements;

  • comply with legal or regulatory obligations; or

  • change Free or Premium functionality.

Updates distributed through the Chrome Web Store may be installed according to Chrome's extension update mechanisms.

Some functionality may change or become unavailable because of factors outside our control, particularly changes made by third-party websites or services.

13. Suspension or Termination

We may restrict, suspend, or terminate access to Premium functionality or associated licensing where reasonably necessary because of:

  • license fraud or unauthorized license sharing;

  • payment reversal or chargeback;

  • misuse of the Extension;

  • violation of these Terms;

  • security concerns;

  • unlawful activity; or

  • discontinuation of the applicable service.

You may stop using ImageUpWP at any time by uninstalling the Extension.

If you uninstall ImageUpWP, locally stored Extension data may be removed according to Chrome's storage behavior.

Termination does not eliminate obligations or liabilities that arose before termination.

14. Privacy

Your use of ImageUpWP is also governed by the ImageUpWP Privacy Policy.

The Privacy Policy explains how ImageUpWP accesses, processes, stores and transmits information, including WordPress authentication information, website content, local Extension settings, image transfers and Freemius-related licensing information.

ImageUpWP is designed around data minimization. Publisher-operated ImageUpWP servers do not store your uploaded images or WordPress credentials as part of the normal Extension workflow.

The Privacy Policy forms part of these Terms.

15. Chrome Web Store

ImageUpWP may be distributed through the Google Chrome Web Store.

Your use of Chrome and the Chrome Web Store may separately be subject to Google's applicable terms and policies.

Mrdzyn Studio's obligations as an extension publisher are governed separately by applicable Chrome Web Store developer requirements.

Google is not responsible for providing ImageUpWP's Premium licensing, WordPress connectivity, customer support, or other publisher-provided services unless expressly stated by Google.

16. Security

ImageUpWP uses reasonable technical measures intended to protect locally handled authentication information and restrict its use to ImageUpWP functionality.

However, no browser extension, computer system, network connection, hosting environment, or electronic storage system can be guaranteed to be completely secure.

You are responsible for maintaining reasonable security over your:

  • computer and operating system;

  • Chrome browser profile;

  • WordPress accounts;

  • WordPress Application Passwords;

  • hosting environment;

  • administrator accounts; and

  • related systems.

If you believe a WordPress Application Password has been compromised, you should revoke it through WordPress and create a replacement credential.

17. Availability and Support

ImageUpWP is provided subject to availability.

We may perform updates, maintenance, security changes, compatibility updates, or other modifications that temporarily affect availability.

We do not guarantee that ImageUpWP will operate without interruption or error on every browser version, WordPress configuration, hosting environment, third-party website, or network.

Support may be provided through channels made available by Mrdzyn Studio. The level or availability of support may differ between Free and Premium users.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, ImageUpWP is provided on an "as is" and "as available" basis.

Mrdzyn Studio does not warrant that:

  • the Extension will always be uninterrupted or error-free;

  • every downloaded image will be detected successfully;

  • every third-party website will remain compatible;

  • every WordPress configuration will accept uploads;

  • third-party websites or services will remain available;

  • use of the Extension will satisfy every user's specific requirements; or

  • defects or compatibility issues will always be corrected.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Mrdzyn Studio and those involved in providing ImageUpWP will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of, or inability to use, ImageUpWP.

This includes, where legally permitted, losses resulting from:

  • lost profits or revenue;

  • lost or corrupted data;

  • loss of website content;

  • failed image uploads;

  • WordPress configuration problems;

  • unauthorized use of credentials resulting from circumstances outside ImageUpWP's reasonable control;

  • third-party service outages or changes;

  • hosting failures;

  • account suspensions by third-party services; or

  • content licensing or intellectual property disputes resulting from content selected by the user.

Where liability cannot legally be excluded, liability will be limited only to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

20. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, and reasonable costs arising from your unlawful or unauthorized use of ImageUpWP, including claims resulting from:

  • content you upload without sufficient rights or authorization;

  • unauthorized access to WordPress websites;

  • violation of these Terms; or

  • violation of another person's intellectual property, privacy, or other legal rights.

This section does not apply to the extent prohibited by applicable consumer law.

21. Changes to These Terms

We may update these Terms when ImageUpWP's functionality, licensing model, security practices, third-party integrations, legal obligations, or distribution arrangements change.

When material changes are made, the updated Terms will be published with a revised "Last Updated" date.

Where required by applicable law, additional notice or consent will be provided.

Continued use of ImageUpWP after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

22. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

23. No Waiver

Failure by Mrdzyn Studio to enforce any provision of these Terms does not constitute a waiver of that provision or of the right to enforce it later.

24. Entire Agreement

These Terms, together with the ImageUpWP Privacy Policy and any applicable purchase, subscription, or license terms presented at checkout, constitute the agreement governing your use of ImageUpWP.

If a specific paid plan or checkout term conflicts with these general Terms regarding billing, license duration, renewals, or plan limits, the more specific purchase term will apply to that issue, subject to applicable law.

25. Governing Law

These Terms shall be governed by and interpreted according to the laws of [INSERT GOVERNING JURISDICTION], without regard to conflict-of-law principles, except where mandatory consumer protection law requires otherwise.

Nothing in this section deprives consumers of protections that cannot lawfully be waived under the laws applicable to them.
